PARTICIPANT AGREEMENT AND RELEASE FORM

Company: Rome Labs Co., a Delaware company ("we", "us", or "Company")



1. Introduction

By typing/signing your name, you (“Participant” or “you”) agree to allow us to collect, use, and fully license the video/audio recordings you upload or capture through our platform (the “Recordings”). These recordings may include your voice, face, likeness, accent, and demographic information. You must be 18 years or older, or have permission from a legal guardian.



2. Rights You Grant Us

You irrevocably grant to the Company and its partners the perpetual, worldwide, royalty-free, irrevocable, transferable license to:

  • Use, copy, modify, publish, distribute, display, and create derivative works from the Recordings in any format or medium, now or in the future


  • Use your voice, face, likeness, image, name (if provided), speech patterns, accent, and other biometric or identifying traits from the Recordings


  • Use the Recordings to develop, train, test, and commercialize artificial intelligence and machine learning systems

  • Share or sublicense these rights to third parties, including research partners and commercial customers


You understand these rights apply forever, worldwide, without further notice or payment.



3. Your Promises

You confirm that:

  • You are at least 18 years old, or have your parent/guardian’s permission


  • The content you submit is your own, and does not include other people’s voices, faces, or any copyrighted or unauthorized material


  • You are not owed any royalties or future payments beyond the amount disclosed and approved at the time of submission


  • You are not bound by any contract that prevents you from granting us these rights




4. Review, Approval, and Rejection of Submissions

We reserve the sole and final right to review, approve, or reject any submission, for any reason, including but not limited to:

  • Poor audio or video quality


  • Off-topic, incomplete, or misleading content


  • Noncompliance with script instructions or guidelines


  • Submissions containing others' voices, faces, or copyrighted material


  • Duplicate, reused, AI-generated, or fraudulent content


We are under no obligation to provide compensation for rejected submissions. Submissions must pass our technical and content quality checks before any payment is issued.



5. Compensation

You may receive payment for approved submissions, as disclosed within our platform or communication channels. Payments are only issued after final validation, and no compensation is owed for rejected, flagged, or incomplete submissions. Any taxes or obligations are your own responsibility.



6. Use of Personal Data

We may store and process your personal data (e.g., age group, language, accent, gender, country) to:

  • Verify submissions


  • Ensure data diversity and legal compliance


  • Support internal QA or regulatory documentation


We do not sell personal data. You may request to view or delete personal data, except the recordings and AI models built from them.



7. No Revocation or Take-down

You understand that once submitted, your Recordings may be:

  • Used in public and commercial datasets


  • Integrated into AI/ML models


  • Sublicensed to partners and customers


You waive the right to request takedown or deletion after submission and release the Company from any related claims.



8. Governing Law

This agreement is governed by the laws of [Insert jurisdiction], and any disputes will be handled exclusively in the courts of [Insert location].



9. Legal Guardian Consent (if under 18)

If you are under 18, your parent or legal guardian must accept this agreement on your behalf.



10. Indemnification

Participant agrees to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, contractors, successors, licensees, and assigns from and against any and all claims, liabilities, losses, damages, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) Participant’s breach of any representation or warranty in this Agreement; (ii) any claim that the Recordings or other submitted content infringe or misappropriate any intellectual property, privacy, or publicity rights of a third party; or (iii) any violation of applicable law in connection with the Participant’s conduct or submissions.



11. No Employment or Agency Relationship

Participant understands and agrees that they are participating in this project as an independent contributor and not as an employee, contractor, agent, partner, or representative of the Company. Nothing in this Agreement shall be construed to create any employment, joint venture, partnership, or agency relationship. Participant is not entitled to any benefits or compensation beyond what is explicitly offered and accepted in connection with approved submissions.



12. Export Control and Sanctions Compliance

Participant represents and warrants that they are not a resident of, located in, or otherwise affiliated with any country, territory, entity, or individual that is subject to trade restrictions, embargoes, or sanctions under applicable laws of the United States, European Union, United Kingdom, United Nations, or any other relevant authority. Participant agrees to comply with all applicable export control and sanctions regulations and affirms that their participation does not violate such restrictions. The Company reserves the right to immediately terminate access or participation for any individual or region subject to these controls.



13. Use in Synthetic or Generative Media

Participant expressly acknowledges and agrees that the Recordings may be used, either in whole or in part, as input or training material for the development of synthetic content, including but not limited to digital avatars, generative speech, deep learning models, and other forms of artificially created or AI-assisted media. Such content may replicate or resemble the Participant’s voice, appearance, or expressive characteristics and may be used for commercial or research purposes. Participant waives any and all rights to control or approve such derivative, synthetic, or generative uses.



14. Updates to Terms and Re-Consent

The Company reserves the right to update or modify this Agreement at any time to reflect changes in business practices, technology, legal requirements, or project scope. In the event of a material change, the updated terms will be presented to the Participant for review and acceptance before continued participation is allowed. Continued use of the platform or submission of Recordings after notification of such changes constitutes acceptance of the updated Agreement. Participants may not proceed with further contributions without active consent to the revised terms.



15. Ethical Use and Content Restrictions

The Company commits that Recordings will not be used for purposes that are malicious, deceptive, defamatory, or violate human rights. Specifically, the Company will not knowingly deploy the Recordings in: (i) political disinformation systems; (ii) unauthorized surveillance targeting protected groups; (iii) impersonation or identity theft models; or (iv) unlawful biometric profiling. These restrictions do not limit technical use in research, moderation, or security systems, where permitted by law. The Company reserves the right to determine what constitutes ethical use in alignment with evolving industry norms.
